Terms of Services
These Admoned Terms of Service constitute a binding agreement (this “Agreement”) between Admoned (“Company”) and the users of its in-game ad network platform, specifically Advertisers and Monetizers (collectively, the “Parties”). By using the Admoned platform, the Parties agree to the following terms.
1. License and Services
Admoned grants Monetizers and Advertisers a non-exclusive, worldwide license to access and use its platform, including the proprietary in-game asset SDK (“Admoned Asset”), for serving and displaying virtual reality advertisements (“Ads”).
Monetizers are game or app developers who integrate the Admoned Asset SDK into their apps, allowing them to display Ads from other games or Advertisers for monetization purposes.
Advertisers are businesses, game developers, or individuals who submit Ad campaigns through Admoned’s platform to be displayed in Monetizers' games or apps. Advertisers use the platform to provide payments and manage their ad campaigns.
2. Responsibilities of Monetizers
(a) Valid Traffic: Monetizers agree not to artificially inflate the number of ad impressions or interactions using bots, scripts, or other fraudulent methods.
(b) Ad Display: Monetizers agree to display Ads provided through the Admoned platform in a manner that adheres to Admoned's guidelines, ensuring proper ad placement within their games or apps.
(c) Data Sharing: Monetizers will share app data with Admoned, including user engagement, download statistics, and other key metrics, to optimize ad delivery and campaign reporting.
(d) No Interference: Monetizers will not modify, disrupt, or attempt to manipulate the ad-serving process in any way, ensuring that Ads are displayed as intended by Advertisers.
3. Responsibilities of Advertisers
(a) Campaign Details: Advertisers must submit their Ad campaigns with all necessary details, including impressions, ad creatives, start and end dates, and targeting preferences.
(b) Compliance: Advertisers are responsible for ensuring that their Ads comply with all applicable laws, regulations, and Admoned’s content guidelines. Ads must not contain misleading, inappropriate, or harmful content.
(c) Payments: Advertisers will provide timely payments for the Ads served in Monetizers' apps as per the agreed-upon terms on the platform.
4. Data Collection and Usage
Admoned may collect non-personally identifiable data from both Monetizers' apps and Advertisers' campaigns, such as device information, ad performance, and user interactions. This data will be used for:
Monetizers: To optimize ad placement and improve the monetization potential of their apps.
Advertisers: To measure the performance of Ad campaigns, optimize targeting, and generate reports on ad effectiveness.
This data may be shared between Monetizers and Advertisers, in aggregate form, to improve overall platform performance.
5. Marketing and Promotion
(a) Monetizer and Advertiser Promotion: With prior written consent, Admoned may use the names and logos of both Monetizers and Advertisers for promotional purposes on its website, in media kits, and in other marketing materials.
(b) Cross-Promotion: Admoned may suggest or facilitate cross-promotional opportunities between Monetizers and Advertisers to enhance mutual benefit, subject to both parties' approval.
6. Fees and Revenue Share
Details regarding fees, payments, and revenue sharing will be introduced with the platform’s full release in a future version of this Agreement. At that time, we will provide comprehensive guidelines on how Monetizers will earn revenue from displaying Ads and how Advertisers will be charged for ad placements.
7. Intellectual Property
Admoned retains all rights to the platform and the Admoned Asset SDK. Monetizers and Advertisers are granted a non-exclusive, revocable license to use the platform solely for the purposes of ad serving and campaign management. The SDK or any related technology may not be sublicensed, modified, or distributed to third parties without Admoned’s consent.
8. Content Restrictions
(a) General Guidelines: Ads must not contain or promote illegal, offensive, harmful, or deceptive content, including but not limited to adult content, illegal drugs, hate speech, or fraudulent behavior.
(b) Brand Safety: Admoned reserves the right to reject or remove Ads that do not meet its brand safety criteria. Admoned will also apply reasonable efforts to ensure Ads are placed in appropriate contexts within Monetizers' apps.
9. Privacy and Data Security
Both Monetizers and Advertisers agree to comply with all applicable privacy laws, including ensuring that users are informed about the collection of non-personally identifiable data through Ads. Each party will maintain a privacy policy on their respective websites outlining data collection practices.
10. Disclaimers and Limitation of Liability
Admoned provides its platform and services “as-is” without any warranties. Neither party shall be liable for indirect, incidental, or consequential damages arising out of the use of the platform.
11. Confidentiality
Both Monetizers and Advertisers agree to protect the confidential business information of Admoned, as well as any proprietary data exchanged during their use of the platform. Confidential information includes financial data, technical processes, and other sensitive business information.
12. Termination
The specific terms and conditions regarding the termination of this Agreement, including the procedures for discontinuing services and the obligations of both Monetizers and Advertisers upon termination, will be detailed upon the release of the full web platform.
